1. Scope and Definitions
These Terms and Conditions (“Agreement”) govern the use of the software-as-a-service platform provided by Agency for Sponsorship Intelligence LDA (“ASI”, “we”, “us”, “our”), including the web-based software known as Partnership Net and the mobile application Scoutify, together referred to as the “Platform”, along with any sub-products or services offered by ASI.
By accessing or using the Platform, you (“Customer”, “you”, “your”) agree to be bound by this Agreement.
You will be notified of any amendments to these Terms and Conditions in writing, by fax or by e-mail. If you do not object to this amendment within two weeks of receipt of the notification, the amendments shall be deemed to have been accepted by you.
2. Subscription Term and Renewal
The initial subscription term shall be as specified in your order (e.g. one year). Thereafter, the subscription will automatically renew for successive one-year terms unless either party gives written notice of non-renewal at least 60 calendar days before the end of the current term.
Customer may also terminate this Agreement for convenience at any time by providing at least 60 calendar days’ prior written notice. No refunds will be issued for any unused portion of the subscription term unless required by law or agreed otherwise.
3. Registration as a User
By using the Platform, you represent and warrant that:
You are liable for maintaining the confidentiality of any login information associated with any account you use to access the Services or resources, and thus you are also responsible for all activities that occur on your account. You will be solely responsible for any consequences, losses, or damages that ASI may directly or indirectly incur or suffer due to any illegal or unauthorized activities conducted by you or person engaged by you.
4. Prohibited Activities
As a condition of your use of the Services, you will not use the Platform for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Platform in any manner that could damage, disable, overburden, or impair any server, or the network(s) connected to any server. You may not attempt to gain unauthorized access to any Services, other accounts, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.
5. Pricing and Payment
ASI may increase subscription fees by up to 10% per calendar year, provided that ASI gives at least 60 calendar days’ written notice before the start of the next billing period. If Customer does not accept the increase, Customer may terminate the subscription before the new pricing takes effect.
All invoices are payable within 5 calendar days of receipt. Fees are exclusive of VAT and other applicable taxes, which will be added to invoices. ASI reserves the right to suspend access to the Platform if payment is not received after a reminder notice. Statutory interest may be charged on overdue amounts.
6. Customer Data and Usage
Customer retains all rights, title, and interest in and to all data, content, and materials uploaded or submitted to the Platform (“Customer Data”).
By using the Platform, Customer grants ASI a worldwide, royalty-free, non-exclusive licence to host, store, process, and use Customer Data for the purpose of providing and improving the Services. This includes using Customer Data to train and refine ASI’s algorithms and models, and to derive analytics or aggregated insights, in compliance with applicable law.
Customer acknowledges that data storage is mandatory and integral to the functionality of the Platform.
7. Confidentiality
Each party agrees to treat the other party’s Confidential Information as confidential and not to disclose it to any third party or use it for any purpose outside the scope of this Agreement without the discloser’s consent.
“Confidential Information” includes all non-public information disclosed by one party to the other, including Customer Data, business plans, technical designs, pricing, and proprietary methodologies. Confidential Information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.
ASI confirms that Customer Data will be treated as Confidential Information of the Customer.
8. Security and Breach Notification
ASI implements appropriate technical and organisational measures to protect Customer Data against unauthorised access, loss, or alteration. However, ASI does not guarantee uninterrupted or error-free operation of the Platform.
If ASI becomes aware of a data breach affecting Customer Data, ASI will notify Customer without undue delay and in any event within 72 hours of confirming the breach. ASI will provide relevant details and updates as they become available.
Customer is responsible for maintaining the security of its account credentials and shall promptly notify ASI of any suspected unauthorised access.
9. Data Backup
Customer is responsible for maintaining backup copies of its Customer Data. ASI follows standard data backup and retention practices but does not guarantee that any deleted or lost data can be restored.
10. Intellectual Property
The Platform, including Partnership Net and Scoutify, and all associated software, content, designs, and materials are owned by ASI or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Customer is granted a limited, non-exclusive, non-transferable licence to access and use the Platform during the subscription term for internal business purposes only.
Customer shall not copy, modify, distribute, reverse engineer, decompile, or create derivative works from the Platform, except as permitted by law.
11. User Contributions and Feedback
Any content posted by Customer within the Platform that is visible to other authorised users (e.g. comments, forum posts) is considered a “Contribution”. Customer grants ASI and other authorised users a licence to use and share such Contributions within the Platform.
Customer represents that Contributions do not infringe third-party rights or contain unlawful material. ASI may remove or restrict any Contribution that violates these Terms or applicable law.
Any suggestions, ideas, or feedback provided by Customer regarding the Platform or Services may be used by ASI freely and shall become ASI’s property without obligation to Customer.
12. Limitation of Liability
To the fullest extent permitted by law, ASI’s total aggregate liability arising out of or related to this Agreement shall not exceed the total amount of fees paid by Customer to ASI in the 12 months preceding the event giving rise to liability.
ASI shall not be liable for any indirect, consequential, special, or exemplary damages, or for loss of profits, revenue, data, or business interruption, even if advised of the possibility of such damages.
Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
13. Indemnification
Customer shall indemnify and hold harmless ASI and its affiliates from any third-party claims, damages, losses, or expenses (including reasonable legal fees) arising out of:
ASI will promptly notify Customer of any such claim and allow Customer to control the defence and settlement, provided it does not admit liability on ASI’s behalf.
14. Termination for Cause
Either party may terminate this Agreement for material breach by the other party, if such breach is not cured within 30 calendar days of written notice.
ASI may suspend or terminate the Service immediately if Customer is in violation of the Acceptable Use provisions or is more than 15 calendar days overdue on payment.
15. Effects of Termination
Upon termination or expiration of the Agreement, Customer’s access to the Platform shall cease. ASI will deactivate Customer’s account.
Customer may request an export of its Customer Data within 30 calendar days of termination. ASI shall provide such data in a commonly used electronic format. After 30 calendar days, ASI may delete Customer Data from active systems, except where retention is required by law.
Provisions regarding confidentiality, intellectual property, limitation of liability, indemnification, and payment obligations shall survive termination.
16. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, pandemics, internet or power outages, or governmental actions.
If such an event continues for more than 60 calendar days, either party may terminate the Agreement by written notice.
17. Assignment
Customer may not assign this Agreement without prior written consent from ASI. ASI may assign or transfer this Agreement to an affiliate or successor entity.
18. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Portugal. The parties submit to the exclusive jurisdiction of the courts of Portugal for all disputes arising under this Agreement.
19. Entire Agreement and Updates
This Agreement, together with any Order Forms and referenced documents (including the Data Processing Addendum and Privacy Policy), constitutes the entire agreement between the parties and supersedes all prior agreements.
ASI may update these Terms by providing written notice. If Customer does not object within 14 calendar days of receipt, the updated Terms shall be deemed accepted.
20. Compliance with Law
Each party shall comply with all applicable laws and regulations in connection with its performance under this Agreement, including data protection laws such as the General Data Protection Regulation (GDPR) and the EU Data Act.
21. Additional Services
If additional services not listed in the project agreement are needed, ASI will charge extra fees based on the required personnel skill level. The following daily rates apply:

Rates are calculated for an 8-hour workday, including travel time to and from client assignments, but excluding travel costs. All values are exclusive of VAT, if applicable. Daily rates may increase annually by up to 3% for inflation.
22. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court or other competent authority, such provision shall be deemed severed from the remaining provisions, which shall continue in full force and effect to the extent permitted by law.
